SFI agreement terms and conditions: Version 1.1

These SFI agreement terms and conditions set out the rules that you and the RPA must follow for the duration of your agreement. They apply to SFI agreements for the SFI 2024 offer.听听听听听

1.鈥疘苍迟谤辞诲耻肠迟颈辞苍听

1.1 鈥疶he Sustainable Farming Incentive听

The Sustainable Farming Incentive (鈥淪FI鈥) is a scheme run by the Rural Payments Agency (referred to below as 鈥渦s鈥, 鈥渨e, 鈥渙ur鈥) on behalf of the Department for Environment, Food and Rural Affairs (鈥淒efra鈥). It is part of the Environmental Land Management Scheme under section 1 of the Agriculture Act 2020 and in conjunction with the Agriculture (Financial Assistance)鈥疪egulations鈥2021 (鈥湷俪蟊疴疪别驳耻濒补迟颈辞苍蝉鈥).听

1.2鈥 About these Terms and Conditions听

(a) The鈥疭FI鈥痑greement (the 鈥淎greement鈥) comprises:听

听听听(i) the 鈥淎greement Document鈥, which describes the land parcels in the Agreement (the 鈥淎greement Land鈥) and the sum to be paid to you (the 鈥淕rant鈥) for delivering the action(s) you have selected (the 鈥淎ctions鈥) and which will also include a sum to be paid to you for entering and managing your Agreement (the 鈥淪FI Management Payment鈥);听听

听听听(ii) these 鈥淭erms and Conditions鈥, which are applicable to the payment of the鈥疓rant; and听

听听听(iii) the Actions听

(b) For the avoidance of doubt, the Grant includes the sum to be paid to you for entering and managing your Agreement (the 鈥淪FI Management Payment鈥). All references to the Grant in these Terms and Conditions include the SFI Management Payment. Details regarding payment of the SFI Management Payment are set out in these Terms and Conditions.听听听

(c) If there is any conflict between these Terms and Conditions, the鈥疉greement Document鈥痑nd the鈥疉ctions, these Terms and Conditions will be given priority.听

(d) When the agreement holder (鈥測ou鈥) enters the鈥疉greement, you are agreeing to the terms applicable to the payment of the鈥疓rant.听

1.3鈥疻hy you should read the Terms and Conditions听

You should read the Terms and Conditions carefully because they provide information including:听

(a) how we will pay the鈥疓rant鈥痶o you, as set out in your鈥疉greement Document;听

(b) how you or we may change or end the鈥疉greement; and听

(c) what you need to do if you cannot comply with your obligations under the鈥疉greement.

1.4鈥疪eferences in the Terms and Conditions

(a) Definitions of capitalised terms are defined in this document when they are first referred to and can also be found in the definition of terms at the end of these Terms and Conditions.听

(b) A reference to the 鈥淟aw鈥 means any law, statute, subordinate legislation within the meaning of Section 21(1) of the Interpretation Act 1978, byelaw, right within the meaning of Section 4(1) EU Withdrawal Act 2018 as amended by EU (Withdrawal鈥疉greement) Act 2020, regulation, order, regulatory policy, statutory guidance which has the effect of law, judgement of a relevant court of law, or directives or requirements of any regulatory body with which you are required to comply.听

(c) A reference to a statute or statutory provision is a reference to it as amended, extended or re-enacted from time to time and shall include all subordinate legislation made under that statute or statutory provision.听

(d) A reference to a public organisation includes a reference to any successor to that public organisation.听

(e) Any words following the terms 鈥榠ncluding鈥, 鈥榠nclude鈥, 鈥榠n particular鈥 or 鈥榝or example鈥 or any similar phrase shall be construed as illustrative and shall not limit the generality of the related general words.听

(f) Unless the context otherwise requires, words in the singular shall include the plural and in the plural shall include the singular.听

1.5鈥 The SFI鈥疭cheme Information听

(a) We have published information relating to鈥疭FI鈥痮n鈥寥酥辈モ(the 鈥Scheme Information鈥). The鈥疭cheme Information鈥痠ncludes:听

听听听(i) the鈥疉ctions;听

听听听(ii) the 鈥淪cheme Rules鈥 that further explain the mandatory requirements of your鈥疉greement鈥痑s established by these Terms and Conditions. The鈥疭cheme Rules鈥痑re contained in the following sections of the鈥疭cheme Information鈥痮n 伊人直播:听

  • section 1 鈥楢bout the SFI offer鈥;听
  • section 2 鈥榃hen and how much you鈥檒l get paid鈥;听
  • section 4 鈥楥heck if you have management control of land鈥;听
  • section 5 鈥楥heck if your land is eligible for the SFI actions鈥;听
  • section 10 鈥楪et all necessary regulatory consents, permissions and licences in place鈥;听
  • section 11 鈥楢bout your SFI agreement鈥;听
  • section 12 鈥楳anaging your SFI agreement鈥;听
  • section 13 鈥楥omplying with your SFI agreement鈥;听
  • annex A 鈥楢pplying for SFI on common land or shared grazing鈥; and听

听听听(iii) other scheme information and guidance that is not listed at condition 1.5(a)(i) or condition 1.5(a)(ii) which is there to help you. This other scheme information and guidance will not be used to introduce or explain mandatory requirements of your鈥疉greement.听

(b) We may produce new versions of or amend the Scheme Information throughout the lifetime of SFI. However, the version applicable to you shall be the version which was current when the Agreement commences (the 鈥淎greement Start Date鈥), unless amended in accordance with condition 6 (Changes to your Agreement).

2.鈥 About your鈥疉greement听

2.1鈥 Your鈥疉greement听

(a) the鈥疉greement Document, including any documents referenced in the鈥疉greement Document;听

(b) these Terms and Conditions (which are further explained in the鈥疭cheme Rules鈥痑s explained in condition 1.5(b)); and听

(c) the鈥疉ctions鈥痽ou have selected.听

2.2鈥 What you are declaring听

By entering the鈥疉greement鈥痽ou confirm that:听

(a) the declarations you made in your鈥疭FI鈥痑pplication for the鈥疓rant鈥痳emain true and accurate to the best of your knowledge and belief;听

(b) you have full capacity and authority to enter into the鈥疉greement;听

(c) you are not aware of any circumstances which would render you ineligible for the鈥疓rant or otherwise prevent you from complying with your obligations under the鈥疉greement;听

(d) your obligations under the鈥疉greement鈥痙o not and will not conflict in whole or in part with any other legal or contractual obligations you are subject to; and听

(e) you will at all times comply with all relevant鈥疞aw鈥痠n the performance of your obligations under the鈥疉greement.听

2.3 鈥疻hat you are agreeing to do听

In applying for and receiving the鈥疓rant, you are agreeing to:听

(a) use the鈥疓rant鈥痶o complete your selected鈥疉ctions (and for associated administrative costs), as referenced in your鈥疉greement Document鈥痑nd supplemented by the鈥疭cheme Information;听

(b) comply with these Terms and Conditions; and听

(c) obtain, maintain and comply with any permits, licences, permissions, consents, approvals, certificates and authorisations (whether statutory or otherwise) which are required:听

听听听(i) to comply with the obligations under the鈥疉greement; and听

听听听(ii) for the protection of ancient monuments, archaeological sites, heritage sites, trees, historical sites on the鈥疉greement Land鈥痑nd Sites of Special Scientific Interest (SSSIs).听

2.4 Agreement Period听

(a) The鈥疉greement鈥痠s for a period (the 鈥淎greement Period鈥) from the Agreement Start Date until the latest Action End Date unless terminated earlier under condition 15 (Termination of an Agreement)鈥. The鈥疉greement Start Date鈥痑nd the鈥疉greement鈥疎nd Date are shown in your鈥疉greement Document.听

(b) Where the Agreement Document specifies Actions of varying lengths, the terms of the Agreement shall apply in respect of the relevant Action from the date the Action starts (the 鈥淎ction Start Date鈥) until the date the Action ends (the 鈥淎ction End Date鈥). The Action will expire after the Action End Date and the relevant land shall no longer form part of the land described in the Agreement Document (the 鈥淎greement Land鈥). The Action Start Date and the Action End Date for each selected Action are shown in your Agreement Document.听听听听听听

2.5鈥 This鈥疉greement鈥痙oes not replace the need for regulatory consents听

You understand that the鈥疉greement鈥痙oes not operate as:听

(a) an鈥疭SSI consent. If such consent is required you must apply separately in accordance with any instructions provided by Natural England;听

(b) a scheduled monument consent of the Ancient Monuments and Archaeological Areas Act 1979 (or other consent under that Act). If such consent is required you must apply separately in accordance with any instructions provided by Historic England. You will obtain and take account of the鈥疭FI HEFER鈥痗onsultation response for all the land and features in connection to this鈥疉greement; or听

(c) any other regulatory consent required by the鈥疞aw.听

3.鈥疢补苍补驳别尘别苍迟 Control鈥痮f the鈥疉greement Land听

3.1鈥疻hat is鈥疢anagement Control听

You will have 鈥淢anagement Control鈥 if you have sufficient control over how the鈥疉greement Land鈥痠s managed to complete the鈥疉ctions鈥痽ou have selected. This is explained in the section about 鈥楥heck if you have management control of land鈥 in the鈥疭cheme Rules.听

3.2鈥 Management Control鈥痜or the duration of the鈥疉greement or until the Action End Date听听听

(a) Where the Agreement Document specifies Actions with the same Action Start Date and the same Action End Date, you must have鈥疢anagement Control鈥痮f the Agreement Land for the entire鈥疉greement Period.听

(b) Where the Agreement Document specifies Actions of varying lengths, you must have Management Control of the Agreement Land required for each Action respectively from the Action Start Date until the Action End Date. The Action will expire after the Action End Date and the relevant land shall no longer form part of the Agreement Land.听

3.3 If you lose Management Control听

(a) If you lose Management Control of all or part of the Agreement Land鈥痓efore the Agreement End Date, or the Action End Date if it is earlier than the Agreement End Date, you must inform us using the procedure in condition 7 (Change of Circumstances).听

(b) If you lose鈥疢anagement Control of all of the鈥疉greement Land, the Agreement鈥痺ill be terminated, and you may have to repay some or all of the Grant鈥痑lready received as set out in condition 7 (Change of Circumstances).听

(c) If you lose Management Control of part of the鈥疉greement Land, the affected land will be removed from the Agreement鈥痑nd you may have to repay some or all of the Grant鈥痑lready received as set out in condition 7 (Change of Circumstances).听

3.4鈥疶enanted Land听

If you hold land under a Farm Business Tenancy under the Agricultural Tenancies Act 1995 or an Agricultural Holdings Act 1986 tenancy:听

(a) you must ensure that by entering the land into the鈥疉greement鈥痽ou do not breach the conditions of your tenancy; and听

(b) if the tenancy expires before the鈥疉greement鈥疎nd Date, or the Action End Date if it is earlier than the Agreement End Date, you must only include this land in your鈥疉greement Land鈥痠f you expect to have鈥疢anagement Control鈥痮f this land for the entire鈥疉greement Period if the Agreement Document specifies Actions of the same length or until the Action End Date if the Agreement Document specifies Actions of varying lengths.

4.鈥疌辞尘尘辞苍 Land and Shared Grazing听

4.1 鈥疻hat is Common Land and Shared Grazing听

The definitions of common land (鈥淐ommon Land鈥) and shared grazing (鈥淪hared Grazing鈥) are explained in the annex about 鈥楢pplying for SFI on common land or shared grazing鈥 in the鈥疭cheme Rules鈥痑nd any reference to鈥疌ommon Land鈥痠n these Terms and Conditions or the鈥疭cheme Rules鈥痑pplies to鈥疭hared Grazing.听

4.2鈥疻hat Common Land鈥痗an be included in the Agreement听

You must enter Common Land鈥痠nto a separate Agreement. The section about Applying for SFI on common land or shared grazing鈥 Eligibility of commons and shared grazing for an SFI鈥痑greement鈥 in the鈥疭cheme Rules鈥痚xplains what you must do if your Agreement Land鈥痠s Common Land.听

4.3 Requirement to be a single entity if your Agreement Land is Common Land听

(a) If your鈥疉greement Land鈥痠s鈥疌ommon Land, you must be a 鈥渟ingle entity鈥, either as a sole beneficiary or a group.听

(b) If the single entity is a group, you must:听

听听听(i) register with us in the Rural Payments service and have a Single Business Identifier for the group;听

听听听(ii) have a formal, legally enforceable internal arrangement that lists each person鈥檚 responsibilities and the payments they expect to receive and in which each person agrees that we and/or Defra may claim against them personally upon a breach of the Agreement;听听听听

听听听(iii) ensure each person who will benefit from or contribute to the delivery of the Agreement signs the internal arrangement required under condition 4.3(b)(ii);听听

听听听(iv) ensure each person who will benefit from or contribute to the delivery of the Agreement is registered with us in the Rural Payments service and has their own Single Business Identifier;听

听听听(v) identify a main business contact (the 鈥榥ominated representative鈥) with us who will be responsible for administering the鈥疉greement鈥痮n behalf of the group; and听听

听听听(vi) have a bank account registered with us.听

4.4 Management Control of Common Land听听听

(a) You (the single entity under condition 4.3) must have sufficient鈥疢anagement Control鈥痮f the鈥疌ommon Land which is Agreement Land鈥痵o that you can comply with your obligations under the鈥疉greement鈥痜or either the entire鈥疉greement Period or until the latest Action End Date if the Agreement Document specifies Actions of varying lengths.听

(b) For a group to have sufficient鈥疢anagement Control鈥痽ou must also:听

听听听(i) take reasonable steps to contact and consult everyone with a legal interest in the management of the鈥疌ommon Land; and听

听听听(ii) obtain the consent of the owner of the鈥疌ommon Land鈥痠f it is required.听

(c) If you hold Common Land under a Farm Business Tenancy under the Agricultural Tenancies Act 1995 or an Agricultural Holdings Act 1986 tenancy, condition 3.4 applies to that Common Land.

5.鈥疉苍苍耻补濒 顿别肠濒补谤补迟颈辞苍听

5.1 鈥疻hat is the Annual 顿别肠濒补谤补迟颈辞苍听

Your 鈥淎nnual Declaration鈥 confirms that you have complied, or expect to have complied, with your obligations under the鈥疉greement鈥痜or the relevant鈥疉greement Year. This is explained in the section about 鈥楳anaging your SFI agreement鈥 in the鈥疭cheme Rules.听

5.2鈥疻hen to submit an鈥疉nnual 顿别肠濒补谤补迟颈辞苍听

You must submit your鈥疉nnual Declaration鈥痶o us each 鈥淎greement Year鈥 (each twelve (12) month period following the鈥疉greement Start Date). You must do this by a date that we will specify (the 鈥淒ue Date鈥) which will be within the last two (2) months of the relevant鈥疉greement Year.听

5.3鈥疻hat happens if you do not submit your鈥疉nnual 顿别肠濒补谤补迟颈辞苍听

If you do not submit your鈥疉nnual Declaration鈥痓y the鈥疍ue Date, it may affect the鈥疓rant鈥痯aid to you as set out in condition 9 (Payments), and we may also treat this as a breach of your obligations under the鈥疉greement鈥痷nder condition 12.听

6.鈥疌丑补苍驳别蝉 to your鈥疉greement听

6.1鈥疉dding Actions or land to SFI听听

You can add Actions and/or land into SFI after the Agreement Start Date. The process for doing this is explained in the section about鈥楳anaging your SFI agreement鈥 in the鈥疭cheme Rules.

6.2 Adding land to Rotational Actions in the Agreement

(a) If the location of your selected Action can be moved during the Agreement Period (a 鈥淩otational Action鈥), you can either:听听

听听听(i) complete the relevant Rotational Action on the same Agreement Land until the Action End Date.听

听听听(ii) add land to the Agreement Land for the relevant Rotational Action and the relevant Agreement Year.

We will explain the process for adding land to Rotational Actions in the Scheme Information.

6.3 Removing鈥疉ctions or land from the鈥疉greement听

(a) During the鈥疉greement Period, we will not usually allow you to remove an Action or remove land from the鈥疉greement Land. This is explained in the section about鈥楳anaging your SFI agreement鈥 in the鈥疭cheme Rules.听

(b) If you want to remove an Action or remove land forming part of the鈥疉greement Land, you must write to us to request this and explain (providing any supporting evidence) why you wish to do so.听

(c) We will consider requests under condition 6.3 on a case-by-case basis and may allow the request if there is a鈥疌hange of Circumstances鈥痑s defined in condition 7. We will inform you of our decision within a reasonable time period.听

(d) If we approve a request to remove an Action or remove land forming part of the鈥疉greement Land, then we may reduce, recover or withhold payment of the鈥疓rant鈥痠n whole or in part until that request has been processed and the鈥疉greement鈥痑mended accordingly.听

6.4鈥疻hen we may change your鈥疉greement听

(a) We will not usually seek to vary your鈥疉greement鈥痙uring the鈥疉greement Period鈥(in a way not referred to elsewhere in these Terms and Conditions). This is explained in the section about 鈥楳anaging your SFI agreement鈥 in the Scheme Rules.听

(b) However, it is possible we may offer you an鈥疉greement鈥痷pgrade during the鈥疉greement Period. For example, this may be the case if we make changes to these Terms and Conditions or the鈥疉ctions.听

(c) If we offer you an鈥疉greement鈥痷pgrade under condition 6.4(b), which we consider to be beneficial to you:听听

听听听(i) we will notify you by publishing details on 伊人直播 and by writing to you setting out the details of the Agreement upgrade, including when the updated Agreement will apply from; and听听

听听听(ii) if you wish to reject the Agreement upgrade and continue with your existing Agreement, you must write to tell us within eight (8) weeks of our notification under condition 6.4(c)(i).听

(d) If we offer you an Agreement upgrade under condition 6.4(b) which is not covered by condition 6.4(c):听

听听听(i) we will notify you in writing setting out the details of the Agreement upgrade; and听

听听听(ii) it will be possible for you either to accept the鈥疉greement鈥痷pgrade, or continue with your existing鈥疉greement;听听

听听听(iii) if you do not accept in the manner set out in our notification under condition 6.4(d)(i), the Agreement upgrade will not be applied to your Agreement.

(e) There may also be exceptional circumstances (not referred to elsewhere in these Terms and Conditions) where we have to vary your鈥疉greement鈥痙uring the鈥疉greement Period. We will only do this due to exceptional circumstances, such as:听

听听听(i) changes in鈥疞aw鈥痺hich must be reflected in the鈥疉greement; and/or听

听听听(ii) the need to respond to wider government emergency measures and/or measures imperative to the national interest, for example, disease outbreaks or food security emergencies.听

(f) If we vary the鈥疉greement鈥痷nder condition 6.4(e):听

听听听(i) we will notify you in writing and will endeavour to give such notice as is reasonable and proportionate, having regard to the nature of the variation,听 its consequences for you and any action required from you;听

听听听(ii) any variation to the鈥疉greement鈥痺ill apply from the date we specify in our notice to you, provided you take the action required as set out in the notice; and听

听听听(iii) if the variation to the鈥疉greement鈥痷nder condition 6.4(e) is unacceptable to you, you can terminate your鈥疉greement鈥痓y notifying us in writing within a reasonable period that we will specify in our notice to you.鈥 If you do not accept the variation in the manner set out in our notification, we may terminate your Agreement in accordance with condition 15.1(b). Condition 15.3(d) will not apply, provided you inform us within the period specified by us.听

6.5 When we may temporarily adjust your Agreement听听

(a) We may identify factors which may temporarily impact your ability to complete your selected Actions, meaning you are temporarily unable to comply with your obligations under the Agreement. These factors may include, but are not limited to, adverse weather conditions such as flooding or drought. This is explained in the section about 鈥楳anaging your SFI agreement鈥 in the Scheme Rules.听

(b) If condition 6.5(a) applies, we may make a temporary adjustment to the Actions in the Agreement, with this temporary adjustment only being effective during a time period specified by us.听

(c) If we make a temporary adjustment under condition 6.5(b) we will notify you by publishing details on 伊人直播 and will endeavour to give such notice as is reasonable and proportionate. Our notice on 伊人直播 will set out:听

听听听(i) the details of the temporary adjustment;听

听听听(ii) the time period for when the temporary adjustment applies, including a start date and end date;听

听听听(iii) the evidence you must keep if you choose to comply with the temporary adjustment, as described under condition 6.5(f).听

(d) The temporary adjustment under condition 6.5(b) will cease to apply after the end date specified in our notice under condition 6.5(c). After that end date, you must complete your selected Actions to comply with your obligations under the Agreement as if no temporary adjustment had been made.听

(e) There is no obligation for you to comply with the temporary adjustment under condition 6.5(b). You can continue to complete your selected Actions without complying with the temporary adjustment under Condition 6.5(b).听

(f) If you choose to comply with the temporary adjustment under Condition 6.5(b), you must:听听

听听听(i) keep Records as set out in condition 20 (What accounts and records you must keep) to evidence your compliance with condition 6.5; and听

听听听(ii) complete and retain a copy of the prescribed form we publish on 伊人直播 under condition 6.5(c)(iii).听

7.鈥疌丑补苍驳别 of Circumstances听

7.1鈥疻hat is a鈥疌hange of Circumstances听

A 鈥淐hange of Circumstances鈥 means something happens within or outside your control that might reasonably be expected to affect:听

(a) your eligibility for the鈥疓rant;听

(b) the鈥疓rant鈥痽ou should receive;听

(c) your ability to complete the鈥疉ctions; or听

(d) your ability to comply with these Terms and Conditions.听

This is explained in the section about 鈥樷楥omplying with your SFI agreement鈥 in the鈥疭cheme Rules.听

7.2鈥疦otifying us of a鈥疌hange of Circumstances听

If condition 7.1 applies, you must notify us in writing as soon as reasonably practicable.听

7.3鈥疉ction we may take when there is a鈥疌hange of Circumstances听

Where you have notified us about a鈥疌hange of Circumstances, we may take one or more of the following actions:听

(a) amend, remove or replace a condition subject to which the鈥疓rant鈥痠s given either temporarily or permanently, including by varying the area of鈥疉greement Land;听

(b) amend, remove or replace the鈥疉ctions or timescales either temporarily or permanently;听

(c) reduce the鈥疓rant鈥痚ither temporarily or permanently;听

(d) require you to repay some or all of the鈥疓rant鈥痑lready paid to you; and/or听

(e) terminate the鈥疉greement鈥痓efore the鈥疉greement鈥疎nd Date.听

7.4鈥疻hen we will notify you of our decision听

We will notify you within a reasonable period of our 鈥淒ecision鈥 to take any of the actions under condition 7.3 and the reasons for it. At the same time, we will remind you of your rights to request a reconsideration under condition 14 (Reconsideration of Decisions and Determinations).听

8.鈥疶谤补苍蝉蹿别谤蝉 of鈥疉greement Land听

8.1鈥疶ransferring鈥疉greement Land鈥痶o another person or entity听

(a) If you sell, lease or otherwise transfer all or part of the鈥疉greement Land鈥痶o another party or entity (the 鈥淭ransferee鈥) during the鈥疉greement Period鈥痵o that you no longer have鈥疢anagement Control鈥痮ver all or part of the鈥疉greement Land鈥痺e will not usually allow you to transfer your鈥疉greement鈥痶o the Transferee.听

(b) You must notify us of your loss of鈥疢anagement Control鈥痮f all or part of the鈥疉greement Land鈥(as set out in condition 3.3) pursuant to a sale, lease or other transfer using the procedure in condition 7 (Change of Circumstances).听

(c) Where you notify us that there has been a鈥疌hange of Circumstances鈥痷nder condition 8.1(b), we may agree, at our absolute discretion and in limited circumstances only, that you may transfer the鈥疉greement鈥痶o the Transferee provided the conditions laid out in regulation 12 of鈥痑re met.听

9.鈥疨补测尘别苍迟蝉听

9.1鈥疐requency of payments听

The total annual鈥疓rant is divided into four (4) quarterly instalments. The first instalment of the鈥疓rant鈥痺ill usually be made in the fourth (4th) month after the Agreement Start Date鈥痠f you have complied with the obligations under the鈥疉greement. This is explained under the section about 鈥榃hen and how much you鈥檒l get paid鈥 in the鈥疭cheme Rules.听听

9.2鈥疻here payments will be made听

We will pay the鈥疓rant鈥痙irectly to your bank or building society account that is registered with us via BACS transfer, subject to the necessary funds being available when the payment falls due.听

9.3鈥疻hen payments may be delayed, reduced, recovered or withheld听

We may delay, reduce, recover or withhold the payment of the鈥疓rant鈥痠n whole or in part if you do not submit the鈥疉nnual Declaration鈥痳equired under condition 5; and/or you breach your鈥疉greement鈥痷nder condition 12.听听

9.4鈥疺ariation of payment rates听

(a) As stated in the鈥疭cheme Information鈥痺e do not expect to vary the鈥疓rant鈥痙uring the鈥疉greement Period.听

(b) However, we reserve the right, under exceptional circumstances not referred to elsewhere in these Terms and Conditions, to vary the鈥疓rant鈥痙uring the鈥疉greement Period, in accordance with condition 6.4.听

9.5 SFI Management Payment听

(a) The SFI Management Payment will be paid for each hectare of Agreement Land, up to a maximum of fifty (50) hectares in the 鈥淩elevant Agreement鈥, which means:听

听听听(i) if you have entered one (1) Agreement, this will be the Relevant Agreement; or听

听听听(ii) if you have entered more than one (1) Agreement, the Relevant Agreement will be the Agreement with the earliest Agreement Start Date that contains Agreement Land.听听

The section in the Scheme Rules about 鈥榃hen and how much you鈥檒l be paid鈥 explains the value of the SFI Management Payment and how it works.听听

(b) If we take action under condition 7.3 and vary the area of Agreement Land in the Relevant Agreement during the Agreement Period, or if you add land to the Agreement Land under condition 6.2(a) the SFI Management Payment will be paid on the basis of that varied area of Agreement Land, up to a maximum of fifty (50) hectares.听听听

10.鈥疷苍诲耻别 payments or overpayments听

10.1鈥疷ndue payments or overpayments听

It is your responsibility to check all the payments of the鈥疓rant鈥痺e make to you and to notify us within two (2) weeks of you becoming aware if you have any reason to believe an error has occurred. You must repay any overpayment or payment of the鈥疓rant鈥痶o which you are not entitled (including due to our administrative error).听

10.2鈥疻hen a repayment must be made听

Any sum that becomes repayable under condition 10.1 will be treated as a debt by you to us and if it is not repaid we may issue a recovery order in respect of it.听

11.鈥疌丑别肠办颈苍驳 you are complying with your鈥疉greement听

11.1鈥疻hat we may check听

We may check your compliance with the obligations under the鈥疉greement, including that:听

(a) you are complying with these Terms and Conditions; and/or听

(b) you have completed what is required in each of your selected Actions in a way that could reasonably be expected to achieve their aims.听

11.2鈥疕ow we will check you are complying with your obligations under the鈥疉greement听

We will check you are complying with the obligations under the鈥疉greement鈥痶hrough a combination of physical and virtual site visits, remote monitoring, and desk-based administrative checks.鈥 To help us do this, you must:听

(a) for virtual or physical site visits:听

听听听(i) allow a person authorised by us to carry out site visits and exercise powers of entry under 迟丑别鈥疪别驳耻濒补迟颈辞苍蝉鈥(鈥楢uthorised Person鈥) access to any鈥疉greement Land, premises, livestock, trees, crops, plants, machinery, equipment, documents or records (or any related apparatus) covered by the鈥疉greement.鈥 The鈥疉uthorised Person鈥痬ay be accompanied by such other persons as they consider necessary; and听

听听听(ii) provide any assistance reasonably requested by an鈥疉uthorised Person.听

(b) disclose all information or evidence that we may require to verify your continued eligibility for and compliance with the obligations under the鈥疉greement.听

The section about 鈥楥omplying with your SFI agreement鈥欌痠n the鈥疭cheme Rules鈥痚xplains how we will check delivery of your obligations under the鈥疉greement.听

11.3鈥疕ow much notice we will give you of a site visit听

We will endeavour to agree a suitable date and time for the site visit with you. Where it is not possible to agree a suitable date and time, we will notify you in writing of the purpose of the site visit and the date and time at least forty-eight (48) hours in advance of the site visit. 鈥 allows us to access your land at any reasonable hour without notice if, for example, we have a reasonable suspicion that you have committed a serious breach, fraud or any other related offence.听

11.4鈥疻hat we may do during a site visit听

explains what an鈥疉uthorised Person鈥痗an do during a site visit.听

12.鈥疉 breach of your鈥疉greement听

12.1鈥疻hat happens if we suspect there may have been a breach of your鈥疉greement听

(a) Where we reasonably suspect you have breached the鈥疉greement, we will carry out a proportionate investigation. We explain what happens if we suspect a breach of the鈥疉greement鈥痠n the section about 鈥楥omplying with your SFI agreement鈥 in the鈥疭cheme Rules.听

(b) If we reasonably suspect you have breached the鈥疉greement, we may withhold the鈥疓rant鈥痷ntil such investigation is concluded, however we will not usually do this.听

(c) We will inform you of the outcome of the investigation carried out under condition 12.1(a) within a reasonable period.听

12.2鈥疕ow you could breach your鈥疉greement听

After we carry out a proportionate investigation, we may make a 鈥淒etermination鈥 that you have breached the鈥疉greement鈥痠f any of the following applies:听

(a) you have not notified us of a鈥疌hange of Circumstances鈥痷nder condition 7;听

(b) you have, at any time, given us false or misleading information;听

(c) you have used the鈥疓rant鈥痜or a purpose that is not in accordance with the鈥疉greement;听

(d) you have used the鈥疓rant鈥痜or activities that breach any鈥疞aw鈥痺ith which you are required to comply;听

(e) you have failed to comply with the terms of your鈥疉greement;听

(f) you have breached any requirement to which you are subject under the Agriculture (Financial Assistance)鈥疪egulations鈥2021;听

(g) you have failed to provide information, records or evidence required under condition 20;听

(h) you have prevented an鈥疉uthorised Person鈥痜rom carrying out a virtual or physical site visit of the鈥疉greement Land;听

(i) you have refused to provide assistance reasonably requested by an鈥疉uthorised Person鈥痗arrying out a virtual or physical site visit of the鈥疉greement Land;听

(j) you have otherwise obstructed a virtual or physical site visit of the鈥疉greement Land; or听

(k) you have failed to prevent or report actual or anticipated fraud or corruption in relation to the鈥疓rant.听

12.3鈥疉 breach caused by your employees or agents听

The circumstances described in condition 12.2(b) to condition 12.2(j) apply, where appropriate, to any action taken by your employees or agents.听

12.4鈥疻hat happens if we determine there has been a breach听

If we make a鈥疍etermination鈥痶hat you have breached the鈥疉greement, we will write to inform you of this within a reasonable period. We will give you the reasons for this鈥疍etermination. We will then decide what action needs to be taken, if any. We explain what happens if we determine you have breached the鈥疉greement鈥痠n the section about 鈥楥omplying with your SFI agreement鈥 in the鈥疭cheme Rules. You may respond to any鈥疍etermination鈥痠n accordance with condition 14.听

12.5鈥疉ctions鈥痺e may take if you breach your鈥疉greement听

(a) There are no set actions for particular breaches of the鈥疉greement, and we will assess all the circumstances of a breach in a fair and consistent manner, on a case-by-case basis and take the action(s) we think is/are appropriate. This is explained in the section about 鈥楥omplying with your SFI agreement鈥 in the鈥疭cheme Rules.听

(b) If we make a鈥疍etermination鈥痶hat you have breached the鈥疉greement, we may take any of the following actions:听

听听听(i) allow you to rectify the breach;

听听听(ii) issue you with a warning letter;听

听听听(iii) amend, remove or replace a condition subject to which the鈥疓rant鈥痠s given either temporarily or permanently;听

听听听(iv) amend, remove or replace the鈥疉ctions or timescales either temporarily or permanently;听

听听听(v) delay, reduce, recover or withhold payment or require repayment of all or part of the鈥疓rant;听

听听听(vi) terminate the鈥疉greement鈥痓efore the鈥疉greement鈥疎nd Date; and/or听

听听听(vii) prohibit you from receiving financial assistance from other financial assistance schemes under the Agriculture Act 2020 for a period of up to two (2) years from the day after we notify you of the鈥疍etermination鈥痮n the breach.听

12.6鈥疪epayment if there has been a breach听听听

If we require you to repay all or part of the鈥疓rant鈥痷nder condition 12.5(b)(v), then you must do so within sixty (60) days of the date of our demand for repayment. If you fail to repay the requested amount within sixty (60) days of our demand, then that sum will be recoverable as a civil debt with interest. Our right to recover under condition 12.5(b)(v) extends to the whole of the鈥疓rant鈥痯aid to you in the鈥疉greement Year鈥痮r鈥疉greement Years to which the鈥疍etermination鈥痳elates under condition 12.2.听

13.鈥疓辞辞诲 reasons for a breach听

13.1鈥疻hat are good reasons for a breach听

We understand that there may be circumstances (a 鈥淕ood Reason鈥) where you are in breach of the obligations under the鈥疉greement鈥痓ecause of events outside of your control.听

(a) A Good Reason for a breach of the鈥疉greement鈥痠ncludes, but is not limited to:听

听听听(i) natural events, such as prolonged adverse weather conditions, flooding, or animal or plant disease;听

听听听(ii) if you are seriously ill;听

听听听(iii) if you die;听

听听听(iv) if there is unforeseen loss of鈥疢anagement Control鈥痮f the鈥疉greement Land, for example when a tenancy is terminated, or because of the compulsory purchase of land by a third party;听

听听听(v) financial circumstances, such as bankruptcy;听

听听听(vi) evidenced supply chain problems, such as a lack of soil testing capacity; and听

听听听(vii) criminal damage by a third party, such as arson or vandalism.听

听(b) We explain what good reasons for a breach could include in the section about 鈥楥omplying with your SFI agreement鈥痠n the鈥疭cheme Rules.听

13.2鈥疦otifying us about a good reason for a breach听

(a) If condition 13.1 applies, you (or any person authorised to act for you) must notify us in writing to explain the Good Reason.听

(b) If the Good Reason relates to a breach of the鈥疉greement鈥痷nder condition 12.2(h), condition 12.2(i) or condition 12.2(j), you must notify us in writing immediately.听

(c) In all other cases, you must notify us in writing within eight (8) weeks from:听

听听听(i) the date you are able to; or听

听听听(ii) the date we notify you of the鈥疍etermination鈥痮n the breach of the鈥疉greement.听

14.鈥疪别肠辞苍蝉颈诲别谤补迟颈辞苍 of Decisions and Determinations听

14.1鈥疕ow to ask us to reconsider a鈥疍ecision鈥痮r鈥疍etermination听

If you would like us to reconsider any鈥疍ecision鈥(for a鈥疌hange of Circumstances鈥痷nder condition 7)鈥痮r鈥疍etermination鈥(for a breach of the鈥疉greement鈥痷nder condition 12)鈥痶hat we have made, you should use our鈥complaints procedure鈥痶o ask for it to be reconsidered.听

14.2鈥疻hen to ask us to reconsider a鈥疍ecision鈥痮r鈥疍etermination听

You must ask us to reconsider any鈥疍ecision鈥痮r鈥疍etermination鈥痺ithin sixty (60) calendar days of the date you are notified about our鈥疍ecision鈥痮r鈥疍etermination.听

14.3鈥疕ow we will reconsider a鈥疍ecision鈥痮r鈥疍etermination听

We will consider your request to reconsider our鈥疍ecision鈥痮r鈥疍etermination鈥痗arefully, including any information or evidence you have provided to us. We will confirm the outcome of our reconsideration, with reasons, in writing within a reasonable period.听

14.4.鈥疕ow to appeal the outcome of a reconsideration听

You may appeal the outcome of our reconsideration of our鈥疍ecision鈥痮r鈥疍etermination鈥痺ithin sixty (60) calendar days of the date you are notified of that outcome where you believe the outcome of our reconsideration:听

(a) was based on an error of fact;听

(b) was wrong in鈥疞aw; or听

(c) there has been a material procedural error.听

14.5鈥疻hen we will confirm the outcome of your appeal听

We will confirm the outcome of your appeal under condition 14.4 within a reasonable period in writing explaining the reasons for this outcome, and this will be our final determination.听

15.鈥疶别谤尘颈苍补迟颈辞苍 of an鈥疉greement听

15.1 When we may terminate your鈥疉greement听

(a) We may terminate the鈥疉greement鈥痓efore the鈥疉greement鈥疎nd Date on written notice to you without compensation and with immediate effect if:听

听听听(i) you were not eligible to enter the Agreement or receive the Grant;听

听听听(ii) there has been a鈥疌hange of Circumstances鈥痷nder condition 7 meaning you are no longer eligible to receive the鈥疓rant;听

听听听(iii) we have made a Determination that a breach has occurred鈥痠n accordance with condition 12;听听

听听听(iv) you have not repaid to us a sum that has become recoverable pursuant to condition 12 or condition 10

(b) In addition to our right to terminate under condition 15.1(a), we may terminate the Agreement at any time on giving at least six (6) months鈥 written notice to you.听听听

15.2 What happens if we terminate your鈥疉greement听

(a) Where we terminate the鈥疉greement鈥痷nder condition 15.1(a), you may be required to repay some or all of the鈥疓rant鈥痑lready paid to you.听

(b) Where we terminate the鈥疉greement鈥痷nder condition 15.1(b), you will be able to keep the鈥疓rant鈥痑lready paid to you, provided you are not in breach of the鈥疉greement.听

15.3 What happens if you want to terminate your鈥疉greement听

(a) We will not usually allow you to terminate your鈥疉greement鈥痓efore the鈥疉greement鈥疎nd Date.听

(b) If you want to terminate your鈥疉greement鈥痓efore the鈥疉greement鈥疎nd Date, you must write to us to request this and explain (providing supporting evidence) why you wish to do so.听

(c) We will consider requests under condition 15.3 on a case-by-case basis and may allow the request if there is a鈥疌hange of Circumstances鈥(condition 7). We will inform you of our decision within a reasonable time period.听

(d) If we agree to terminate your鈥疉greement鈥痓efore the鈥疉greement鈥疎nd Date, you may be required to repay all or part of the鈥疓rant鈥痜or the relevant鈥疉greement Year鈥痮r鈥疉greement Years, and you will remain bound by the relevant obligations under the鈥疉greement鈥痷ntil you make this repayment.听

(e) Condition 15.3(d) does not apply to condition 6.4 except as set out in condition 6.4(f)(iii).听

15.4 This鈥疉greement鈥痺ill automatically terminate in the event of your death if you have entered this鈥疉greement鈥痠n your own name as an individual.听

16.鈥疌辞苍蝉别辩耻别苍肠别蝉 of expiry or termination of your鈥疉greement听

16.1 If we or you terminate the鈥疉greement, or the鈥疉greement鈥痚xpires on the鈥疉greement鈥疎nd Date, this will not affect the rights, remedies, obligations or liabilities that either of us have accrued up to the point of termination or the鈥疉greement鈥疎nd Date.听

16.2 Termination or expiry of the鈥疉greement鈥痺ill not affect our or your continuing rights and obligations under any condition in the鈥疉greement鈥痺hich is intended to continue beyond the鈥疉greement Period.听

17.鈥疘苍迟别濒濒别肠迟耻补濒 property rights听

17.1 We do not anticipate that any new intellectual property rights will be created by these arrangements but if any intellectual property rights are created (for example in assessments, plans and data generated in relation to this鈥疉greement) then these will be owned by the party who created it.鈥 We may need to use any intellectual property created by you for the purposes of the鈥疉greement鈥痑nd you hereby grant us a perpetual, non-exclusive, royalty free licence to do so for use in connection with the鈥疉greement.听

18.鈥疍补迟补 辫谤辞迟别肠迟颈辞苍听

18.1 We and you must always comply with our respective obligations under 鈥淒ata Protection Legislation鈥. We may be required to provide personal information to鈥疍efra. We also are required by law to publish certain information about you, this is described in condition 21.鈥疍ata Protection Legislation鈥痬eans (a) the鈥疷K GDPR, (b) the Data Protection Act 2018 to the extent that it relates to processing of personal data and privacy and (c) all applicable鈥疞aw鈥痑bout the processing of personal data and privacy.听

19.鈥疐谤别别诲辞尘 of information听(FOI)

19.1 You acknowledge that we are subject to the requirements of the Freedom of Information Act 2000 (鈥淔OIA鈥) and the Environmental Information鈥疪egulations鈥2004 (鈥淓IR鈥).听

19.2 We may need to share information we hold about you or the鈥疉greement so we or鈥疍efra鈥痗an comply with any鈥疐OIA鈥痑nd鈥疎IR鈥痳equest.

The extent, content and format of the information we disclose is our decision. In making any disclosure, we will have due regard to鈥疍ata Protection Legislation.听

19.3 You will provide all necessary assistance and cooperation which we or鈥疍efra鈥痳easonably request for the purposes of complying with our obligations under鈥疐OIA鈥痑nd鈥疎IR鈥痺ithin a time period specified by us. You must tell us as soon as reasonably practicable if you receive a鈥疐OIA鈥痮r鈥疎IR鈥痳equest intended for us or鈥疍efra.听

20.鈥疻丑补迟 accounts and records you must keep听

20.1 You must keep all invoices, receipts, accounts and any other relevant documents relating directly to the expenditure of the鈥疓rant鈥痑nd evidence of your compliance with your obligations under the鈥疉greement鈥(鈥淩ecords鈥).

The Records include evidence you must keep as explained in each Action.听

20.2 You must keep your Records for a period of at least seven (7) years from termination of the鈥疉greement鈥痮r the鈥疉greement鈥疎nd Date.听

20.3 You must prepare and keep your Records in compliance with鈥痑pplicable Law鈥痑nd must provide assistance to us when we are auditing or examining these so as to help us carry out our legal obligations.听

20.4 We have the right to:听

听(a) request you to provide your Records to us;听

听(b) review your Records; and/or听

听(c) take copies of such Records听

20.5 You must provide your Records to us upon request. In addition, you shall provide the Records to any other duly authorised public authority (or their authorised representatives or auditors) upon request.听

21.鈥疻丑补迟 information we may publish about you听

21.1 We are required by鈥疞aw鈥痶o publish certain specified information about agreement holders who have received relevant鈥疓rant鈥痯ayments.听

21.2 Condition 21.1 only applies if you have received a total value of relevant payments (as defined in 迟丑别鈥疪别驳耻濒补迟颈辞苍蝉) equal to or more than 拢1,250 in the relevant financial year.听

21.3 The specified information shall:听

听(a) be published on a searchable database on 伊人直播; and听

听(b) remain on that searchable database for three (3) years from initial publication.听

21.4 If condition 21.1 applies to your鈥疓rant, we will publish the following specified information:听

听(a) your full name;听

听(b) the post town, and post code area and district where:听

听听听(i) you are resident, if you are a natural person;听

听听听(ii) your registered office is located, if you are incorporated (for example, a company); or听

听听听(iii) your primary base of business is located, if you are unincorporated (for example, a sole trader);听

听(c) the total鈥疓rant鈥痯ayments received by you in the relevant financial year; and听

听(d) a description of the activities financed by the鈥疓rant鈥痯ayments.听

22.鈥疧迟丑别谤 罢别谤尘蝉听

22.1鈥疻e may transfer the鈥疉greement鈥痶o another public organisation听

We may transfer our rights and obligations to another Government body.鈥 We will tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the鈥疉greement.听

22.2鈥疶hird party rights under this鈥疉greement听

The鈥疉greement鈥痠s between you and us. No other person shall have any rights to enforce any of its terms, however, the terms of the鈥疉greement鈥痑nd our rights under it may be enforced by鈥疍efra.听

22.3鈥疘f a court finds part of the鈥疉greement鈥痠llegal, the rest will continue in force听

Each of the conditions of the Agreement operates separately. If any court or relevant authority decides that any term, condition or provision of the Agreement is unlawful, the remaining terms, conditions and provisions will remain in full force and effect.听

22.4鈥疎ven if we delay in enforcing the鈥疉greement, we can still enforce it later听

If we do not insist immediately that you do anything you are required to do under the鈥疉greement, or if we delay in taking steps against you in respect of you breaching the鈥疉greement, that will not mean that you do not have to meet your obligations under this鈥疉greement鈥痑nd it will not prevent us taking actions against you, as described in these Terms and Conditions, at a later date.听

22.5鈥疦辞迟颈肠别蝉听

All notices in relation to the Agreement shall be in writing and shall be deemed to have been duly given if personally delivered, emailed, mailed (first class postage prepaid) or faxed using the contact details set out in the Agreement Document (or any updated address which is subsequently notified by one party to the other). It is the Agreement Holder鈥檚 responsibility to notify the Authority of any change to its contact details.听

22.6鈥疛oint and several liability听

Where you are not a company nor an incorporated entity with a distinct legal personality of its own, the individuals who enter into the Agreement on behalf of you shall be jointly and severally liable for your obligations and liabilities arising under the Agreement.听

22.7鈥疍ispute resolution听

Any dispute arising between the parties or any complaint or appeal by you concerning our actions in connection with the Agreement shall be resolved according to our complaints procedure.

22.8 Which laws apply to this鈥疉greement鈥痑nd where you may bring legal proceedings听 The鈥疉greement鈥痠s governed by English law and you can only bring legal proceedings in respect of this鈥疉greement鈥痠n the English courts.听

Definition of terms used in the SFI agreement terms and conditions

Capitalised terms used in these Terms and Conditions have specific meanings which are described below:听

Actions: The SFI actions you have selected.听

Action End Date: The date on which the relevant Action comes to an end, as set out in the Agreement Document.听

Action Start Date: The date on which the relevant Action commences, as set out in the Agreement Document.听

Agreement: The鈥疭FI鈥痑greement consisting of the鈥疉greement Document, these Terms and Conditions, and the鈥疉ctions鈥痽ou have selected.听

Agreement Document: The document accompanying these Terms and Conditions, which describes the鈥疓rant鈥痶o be paid to you for delivering the selected Action(s) you have selected.听

Agreement End Date: The latest Action End Date, as shown in your鈥疉greement Document.听

Agreement Land: The land parcels described in the鈥疉greement Document.听

Agreement Period: A period from the鈥疉greement Start Date鈥痶o the鈥疉greement鈥疎nd Date.听

Agreement Start Date: The date the鈥疉greement鈥痗ommences, as shown in your鈥疉greement Document.听

Agreement Year: Each subsequent 12-month period following the鈥疉greement Start Date.听

Annual Declaration: A declaration confirming that you have complied, or expect to have complied, with your obligations under the鈥疉greement鈥痜or the relevant鈥疉greement Year.听

Authorised Person: A person authorised by us to carry out site visits and exercise powers of entry under 迟丑别鈥疪别驳耻濒补迟颈辞苍蝉.听

Change of Circumstances: Means something happens within or outside your control that might reasonably be expected to affect:听

听(a) your eligibility for the鈥疓rant;听

听(b) the鈥疓rant鈥痽ou should receive;听

听(c) your ability to complete the鈥疉ctions; or听

听(d) your ability to comply with these Terms and Conditions.听

Common Land: As defined in the section of the鈥疭cheme Rules on鈥楨ligibility of commons and shared grazing for an鈥疭FI鈥痑greement鈥.听

Data Protection Legislation: This means:听

听(a) the鈥疷K GDPR;听

听(b) the Data Protection Act 2018 to the extent that it relates to processing of personal data and privacy;听

听(c) all applicable鈥疞aw鈥痑bout the processing of personal data and privacy.听

Decision: Our decision following notification to us of a鈥疌hange of Circumstances.听

Defra: Department for Environment, Food and Rural Affairs.听

Determination: Our determination following a breach by you of the鈥疉greement.听

Due Date: The date by which you must submit your鈥疉nnual Declaration.听

EIR: Environmental Information鈥疪egulations鈥2004.听

FOIA: Freedom of Information Act 2000.听

Grant: The sum to be paid to you for delivering the鈥疉ctions, as described in the鈥疉greement Document.听

Law: Any law, statute, subordinate legislation within the meaning of Section 21(1) of the Interpretation Act 1978, bye-law, right within the meaning of Section 4(1) EU Withdrawal Act 2018 as amended by EU (Withdrawal鈥疉greement) Act 2020, regulation, order, regulatory policy, mandatory guidance or code of practice, judgement of a relevant court of law, or directives or requirements of any regulatory body with which you are required to complete comply.听

Management Control: Having sufficient control over how the鈥疉greement Land鈥痠s managed to complete the鈥疉ctions you have selected for the duration of the鈥疉greement Period.听

Regulations: The Agriculture (Financial Assistance)鈥疪egulations鈥2021, as amended.听

Rotational Actions: The Actions you have selected which can move location during the Agreement Period.

Scheme Information: Information we have published on 伊人直播 in relation to鈥疭FI, which includes:听

听(a) the鈥疉ctions;听
